End User Licence Agreement
In plain terms: you are buying the right to use the software, not the software itself. You may install it on the machines you work on. You may not resell it, share it or take it apart.
1. Parties
This agreement is between you (the "Licensee") and Smart Audio Solution S.r.l.s., Via delle Industrie 18/a, 30038 Spinea (VE), Italy, VAT IT04879950279 (the "Licensor").
By installing, activating or using the software, you accept these terms. If you do not accept them, do not install the software and request a refund under the terms on our Refunds page.
2. What you are granted
The Licensor grants you a non-exclusive, non-transferable, worldwide licence to use the software for as long as you comply with this agreement. The licence is granted to a single person or a single legal entity.
You may:
- install and use the software on any computer that you own or control, provided you are the only person using it;
- use it for commercial work without paying any additional fee or royalty on the music you produce;
- make backup copies for your own use.
Where the licence is held by a company, one licence covers one named user. Additional users require additional licences.
3. What you may not do
- Sell, rent, lend, sublicense or give away the software or your licence key, except as allowed in section 5.
- Share your licence key, or install the software for someone who has not bought a licence.
- Reverse engineer, decompile or disassemble the software, except to the extent that applicable law expressly permits it despite this restriction.
- Remove or alter any copyright notice, trade mark or activation mechanism.
- Redistribute the software as part of another product.
4. Ownership
The software is licensed, not sold. All intellectual property rights in it, including the source code, the algorithms, the graphic interface and the name, remain with the Licensor. Nothing in this agreement transfers ownership to you.
5. Transferring your licence
You may transfer your licence permanently to another person, provided that you transfer it in full, you keep no copies, and you inform us so that the licence can be reassigned. A licence may not be transferred while a refund request is open.
6. Trial version
The trial gives you the complete software, with no feature limitations, for fourteen days from activation. When the trial expires the software stops producing audio until a licence is activated. The trial is provided for evaluation, and the warranty disclaimer in section 8 applies to it in full.
7. Updates
Updates within the same major version are provided free of charge. A future major version may be offered as a paid upgrade. We are not obliged to keep supporting operating systems, plug-in formats or host applications that their own makers have discontinued.
8. No warranty
The software is provided "as is". To the fullest extent permitted by law, the Licensor makes no warranty that it will be free of errors, that it will run without interruption, or that it will be fit for any particular purpose.
If you are a consumer in the European Union, this section does not affect your statutory rights. Under Directive (EU) 2019/770 you remain entitled to have digital content that is not in conformity with the contract brought into conformity, and to a price reduction or termination where that is not possible.
9. Limitation of liability
To the fullest extent permitted by law, the Licensor shall not be liable for lost profits, lost recordings, lost projects or any indirect or consequential loss arising from the use of, or inability to use, the software. In every case the Licensor's total liability is limited to the amount you actually paid for the licence.
Nothing in this agreement excludes or limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot be limited by law.
Audio software can produce unexpectedly loud output. Protect your hearing and your equipment: set levels conservatively when you first insert the plug-in.
10. Termination
This licence ends automatically if you breach a material term of this agreement. On termination you must stop using the software and remove all copies. Sections 4, 8, 9 and 11 survive termination.
11. Governing law
This agreement is governed by Italian law. Any dispute shall be brought before the courts of Venice, Italy.
If you are a consumer resident in the European Union, this does not deprive you of the protection of the mandatory rules of the country where you live, and you may bring proceedings in the courts of that country. You may also use the European Commission's Online Dispute Resolution platform at ec.europa.eu/consumers/odr.
